Business Customer Vehicle Sale Terms & Conditions
These Terms apply when you buy a vehicle from us as a Business Customer.

1. Who we sell to

We supply vehicles to business customers. By placing an order with us, you confirm that you are acting for business purposes and not as a consumer.

2. Vehicle information

We describe our vehicles as accurately as possible. Please be aware:

•       Photos and specifications are provided in good faith.

-       Mileage or condition may change slightly due to movement, storage, or pre‑delivery checks.

-       All vehicles are sold as seen, unless we’ve agreed something different in writing.

-       You are welcome to inspect the vehicle before purchase (or choose not to).

3. Prices & payment

-       Prices exclude VAT unless stated otherwise.

-       Payment must be made in cleared funds.

-       A vehicle may be withdrawn from sale at any time before payment is received.

4. When ownership passes to you

Ownership (legal title) transfers to you as soon as we receive full cleared payment, even if:

-       the vehicle has not yet been delivered or collected, or

-       it remains at our premises or at a third‑party storage site. Once title has passed, the vehicle legally belongs to you and we hold it only as a custodian until you arrange collection or delivery. Some vehicles may also be subject to manufacturer/importer rules on title or delivery, where those rules apply, they override anything in our terms.

5. When risk passes to you

Risk passes at the same time as ownership - when full payment clears. From that moment, you are responsible for insuring the vehicle, no matter where it is stored.

6. Storage & third‑party locations

After you have paid and title has passed, your vehicle may be stored:

-       at Sparks Commercial Services Ltd premises

-       at a third‑party compound, port, or storage facility

-       with a manufacturer, supplier, or bodybuilder

Key points:

-       We hold the vehicle only as a custodian.

-       We are not responsible for natural deterioration from storage (e.g., flat batteries, weathering) unless due to negligence.

-       Storage charges may apply

-       If the vehicle goes to a bodybuilder or converter at your request, you remain responsible for it throughout the work.

7. Vehicle identification

-       Once paid for, your vehicle will be identified to your order by VIN, registration number, or another unique identifier, we won’t substitute the vehicle without your agreement.

8. Delivery or collection

-       Delivery dates are estimates and may change.

-       You must collect or accept delivery within reasonable timescale of being told the vehicle is ready, If not, we may charge storage, arrange delivery at your cost, or after notice resell the vehicle and refund you minus reasonable costs.

9. Cancellation

-       Orders cannot be cancelled after payment unless we agree in writing.

-       Deposits are non‑refundable unless we fail to meet a material contractual obligation.

10. Warranties

-       We exclude all implied warranties to the fullest extent allowed for business‑to‑business sales.

-       We do not guarantee fitness for purpose unless expressly stated in writing.

-       Manufacturer warranties start only when the vehicle has been fully prepared and registered according to the manufacturer’s procedure.

11. Our liability

-       Our liability for any claim is limited to the price you paid for the vehicle.

-       We are not liable for loss of profit, business interruption, or indirect losses.

-       Nothing excludes liability for fraud or personal injury caused by negligence.

12. Lien (our right to hold the vehicle)

-       We may retain possession of your vehicle if any related charges (storage, delivery, admin costs) are overdue.

-       If payment remains outstanding after 14 days’ notice, we may resell the vehicle to recover our costs.

13. Events outside our control

-       We are not responsible for delays caused by events outside our reasonable control (force majeure).

14. Governing law

-       These Terms are governed by English law. Any disputes will be resolved in the courts of England and Wales.

15. Your agreement
